1. Who you are contracting with

These Terms & Conditions ("Terms") govern your use of the ProScout web application and any related services (the "Service") provided by Pro Scout Data ("Pro Scout Data", "we", "us", "our"). By creating an account or otherwise accessing the Service, you enter into a binding contract with Pro Scout Data.

2. Acceptance

By continuing to use the Service you confirm that you have read, understood and agreed to these Terms. If you do not agree, you must stop using the Service. If you are using the Service on behalf of a football club, academy or other organisation, you represent that you have authority to bind that organisation to these Terms.

3. The Service

ProScout is a scouting workspace that lets clubs and academies manage a player database, scouting reports, match logs, shortlists, trials and related media. Features available depend on the subscription plan selected.

4. Your account

You must provide accurate information when creating your account and keep it up to date. You are responsible for keeping your credentials confidential and for all activity carried out under your account. Notify us immediately of any suspected unauthorised use.

5. Acceptable use

You must not misuse the Service. In particular, you must not:

  • use the Service for any unlawful, fraudulent, deceptive or abusive purpose;
  • upload or transmit spam, malware or any harmful code;
  • infringe the intellectual property, privacy or other rights of any third party (including any player, coach or club);
  • probe, scan, scrape or otherwise interfere with the security or integrity of the Service;
  • attempt to reverse engineer, decompile or derive source code from the Service; or
  • resell, sublicense or otherwise make the Service available to third parties outside your organisation.

6. Intellectual property

Pro Scout Data retains all right, title and interest in and to the Service, including all underlying software, documentation, designs, trademarks and branding. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected. You retain ownership of the content you upload (players, reports, media, logos) and grant us a limited licence to host and process it solely to provide the Service.

7. Service availability

We work hard to keep the Service available, but we do not guarantee that it will be uninterrupted, error-free or free from vulnerabilities. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Payment, subscriptions and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellations and refunds are governed by the Paddle Checkout Buyer Terms and our Refund Policy.

Subscription plans renew automatically at the end of each billing period until cancelled. You may cancel at any time from your account or by contacting support. Cancellation takes effect at the end of your current billing period unless otherwise stated.

9. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, if any amount due remains unpaid, if we identify a security, fraud or abuse risk, or if you repeatedly or seriously violate our acceptable use rules. We will give reasonable notice where practicable.

On termination, your right to use the Service ends immediately. We will retain your data for a reasonable window to allow export, after which it will be deleted in accordance with our Privacy Notice.

10. Liability

To the fullest extent permitted by law, Pro Scout Data's aggregate liability under or in connection with these Terms is limited to the fees you paid for the Service in the twelve months preceding the event giving rise to the claim. We exclude all liability for indirect, consequential or special damages, including loss of profits, data, goodwill or opportunity. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud, death or personal injury caused by negligence.

11. Your indemnity

You will indemnify us against claims arising from content you upload, from any unlawful use of the Service by you or your users, or from a breach of these Terms.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will give reasonable notice, for example by email or an in-app notice. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, unless a mandatory local law provides otherwise.
